Version 1.1 · Effective October 14, 2026 (replaces version 1.0 of October 4, 2026) · These terms also cover every earlier beta version of Valu-Present (0.9.x). Daniel Holmstock, Culpeper, Virginia · holmstockd@danielholmstock.com · holmstockd@gmail.com
The full terms below are what count. The short version is only a summary.
0.1 Free. While your account is part of the Valu-Present beta, you pay nothing and receive no bills. Sections 5, 6 and 7 (billing, refunds, price changes) apply only once your paid subscription starts. We will not bill you unless you agree to a paid subscription first — we will tell you the price and the start date at least 14 days before, and you choose whether to continue.
0.2 Pre-release software. The beta is a work in progress. Features may be missing, change or be removed; some things may not work, may be slow, or may stop working; and an update may change how something works. Keep your own backups, and check every exhibit, clip and slide before you show it in a deposition, hearing or trial.
0.3 Confidential. You agree to keep the beta confidential until we release Valu-Present publicly or say otherwise in writing. That means you will not publish, post or share screenshots, recordings, download links, your account, or details about the beta's features or performance with anyone outside your own firm, except people at your firm who need to know and who will keep it confidential too. This does not cover information that is already public through no fault of yours. Showing your own exhibits on the Display during your work (for example in a deposition or at trial) is of course allowed.
0.4 Feedback. Please tell us what is broken and what you need: Help → Report a bug or Help → Request a feature in the app (it opens an email with your version and computer details filled in), or email holmstockd@danielholmstock.com. We may use your feedback to improve Valu-Present without owing you anything for it, and we will not name you or your firm without permission.
0.5 Ending the beta. We may end or change the beta, or your place in it, at any time. Your files are always yours (section 4).
1.1 When you sign in, Valu-Present shows these terms. Clicking Agree means you accept them. Clicking Cancel closes Valu-Present, and you cannot use it until you agree.
1.2 After each update, and whenever these terms change, Valu-Present shows the current terms again. You must agree before you continue using it.
1.3 If you accept for a firm or company, you confirm you have authority to bind it. "You" then means you and that firm.
2.1 While your subscription is active and paid, we give you a personal, non-exclusive, non-transferable, revocable license to install and use Valu-Present on the number of computers on your account (shown in App Settings → License and on your account page). The license is for your own work and your firm's work.
2.2 Valu-Present is licensed, not sold. We (and our licensors) keep all rights, title and interest in the software, including its code, design, names, icons, guides and documentation.
2.3 Your account is for you. Do not share your username or password. You can move the license between your own computers from your account page.
2.4 Firm accounts and seats. Every account is a firm (a single person is a firm with one seat). A seat is one person: each person signs in with their own email and password and is given a seat from the firm's pool, and can use Valu-Present on up to two computers on that seat (a main and a backup), which count as one seat. The firm's master login manages the firm's users and seats on the account page; it uses a seat only if it activates Valu-Present itself. When every seat is given, someone's seat must be taken back (or the firm must add seats) before another person can use Valu-Present. The firm's master login and anyone it lets manage:
a. is responsible for who is added to the firm, and for removing people who leave; b. can see each person's name, email and activated computers, and the activity log for the firm's account; c. is responsible for the firm's bills, and is the only one who can cancel the firm's subscription.
Each person must keep their own password private and may not let anyone else use it. The firm is responsible for what its people do with Valu-Present under these terms.
You agree that you will not, and will not help anyone else to:
a. copy, modify, translate or make derivative works of the software, except as the software itself allows (for example, exporting your own work); b. reverse engineer, decompile, disassemble or otherwise try to discover the source code, structure or workings of the software, except to the extent applicable law expressly allows this despite this restriction. This includes using developer, debugging or inspection tools (for example disassemblers, decompilers, Mach-O, binary or class dumpers, debuggers, network or memory inspectors, or unpacking the application bundle or its archives) to inspect, extract or copy the software's code, its theme and appearance engine, its built-in word lists and dictionaries, its templates, or its other internal parts; c. rent, lease, lend, sell, sublicense, publish or otherwise distribute the software, or use it to provide a service bureau or hosting service for others; d. remove, bypass, disable or interfere with the license check, activation, sign-in or any other protection; e. share your account, or let more people or computers use it than your plan allows; f. remove or change any copyright, trademark or other notices; g. use the software to build a competing product, or copy its features, design or text for that purpose; h. benchmarking and competitive analysis. If you make, sell, or work for or on behalf of anyone who makes or sells, software for trial, hearing or deposition presentation, exhibit management or transcript and video synchronisation, you may not license, access or use Valu-Present to run performance or feature benchmarks, to record, capture or extract its screens, layouts, workflows or presentation logic, or to scrape or copy it in any other way, unless we agree in writing first. Using Valu-Present for ordinary litigation support work for your clients is allowed; i. use the software in any way that is unlawful, that violates a court order, a protective order or the rules of a court, or that infringes anyone's rights.
4.1 You own your content. We claim no rights in your documents, exhibits, transcripts, recordings, notes or anything else you work on ("your content").
4.2 Your files stay on your computer. Valu-Present opens, stores, marks, redacts, plays and presents your content on your own computer (or on a drive or network folder you choose). It is not uploaded to us, and we do not collect, view, analyse or sell it. This is what our server receives:
4.3 Built-in A.I. and speech recognition run on your computer. When you turn on Valu-Present A.I. or the speech engine, the engine and its model are downloaded once from their public sources and then run on your computer. Your documents, transcripts and recordings are not sent to us or to an outside A.I. service.
4.4 What you choose to send. If you email exhibits, open a website in the built-in browser, keep your case folder on a cloud drive or network share, or use a shared case folder with colleagues, your files go where you send them, under the terms of the service you use (for example your email or cloud-drive provider). We do not receive them.
4.5 Originals are not changed. Valu-Present keeps your original files as the files of record and saves marked, redacted or edited versions separately. You are still responsible for keeping your own backups.
4.6 Your obligations. You are responsible for your content and how you use it, including confidentiality, privilege, protective orders, court rules, and the accuracy of anything you show in a deposition, hearing or trial. Check every exhibit, clip, callout, sync and slide before you show it. Valu-Present is a tool, and it does not give legal advice.
Renewal disclosure. Your Valu-Present subscription continues every month until you cancel. The price is the monthly price for your plan (with or without the Sync add-on) shown on your account page before you subscribe and on every bill (plus any tax that applies). Each month you receive a PayPal bill for that month. To stop the next bill, cancel before the next month begins. You can cancel online at any time, as described in section 6.
5.1 Billing month. Each billing month is a calendar month: it starts on the 1st and ends on the last day of that month.
5.2 Payment. Bills are sent and paid through PayPal. We do not collect, see or store card or bank details. If a bill is not paid, we may pause your license until it is paid.
5.3 Taxes. Prices do not include taxes unless we say so. You pay any sales or use taxes that apply.
6.1 Cancel online, in one step. You can cancel at any time, as easily as you signed up: - in Valu-Present: App Settings → License → Cancel subscription, or - on your account page: danielholmstock.com/ValuPresent/portal.php → Cancel subscription.
You do not need to call, email or talk to anyone. You can also cancel by emailing holmstockd@danielholmstock.com if you prefer.
6.2 Confirmation. When you cancel, we confirm it right away, on screen and by email. The confirmation says the date your access ends, whether you get a refund, and how much.
6.3 When access ends, and refunds: - Cancel on day 4 or later of a month: that month is paid for and not refunded. You keep full access until the end of that month, and no more bills are sent. - Cancel in days 1–3 of a month: that month's payment is refunded in full through PayPal, and your access ends when you cancel. - Refunds go back through PayPal, normally within 5–10 business days.
6.4 No further bills. After you cancel, we will not send you another bill unless you choose to subscribe again.
7.1 We will tell you about any price increase at least 5 days and no more than 30 days before it takes effect, by email and in the app. The notice says the new price, when it starts, and how to cancel.
7.2 You can cancel before the new price applies. If you are billed the new price without having agreed to it, you can cancel within 14 days of that charge and receive a pro-rated refund for the unused part of that billing month.
8.1 We may update these terms. For any material change, we will tell you at least 5 business days and no more than 30 days before it takes effect, by email and in the app.
8.2 Valu-Present shows the new terms, and you must agree to keep using it. If you do not agree, you can cancel under section 6 before the change takes effect, and the refund rules in section 6.3 apply.
9.1 Updates are included in your subscription. Valu-Present may download updates and ask you to restart.
9.2 After each update, Valu-Present shows What's New: the tools added or changed, and where to find them. The full history of every update is always available at danielholmstock.com/ValuPresent/whatsnew.php.
9.3 We may add, change or remove features. If we remove a feature that is a main reason you subscribed, you may cancel and receive a pro-rated refund for the rest of that billing month.
If we offer a free trial (or a beta period with an end date), it starts the day you first activate Valu-Present on a computer, not the day your account is created. We will tell you its length, the price after the trial, and the date you will first be charged, and we will get your consent before charging you. If a trial is longer than one month, we will remind you at least 3 days (and no more than 21 days) before the first charge. You can cancel during the trial in one click, and you will not be charged.
Valu-Present includes open-source and third-party components, each under its own license. Those notices are listed in the app (Help → About → Licenses). Nothing in these terms limits your rights under those licenses.
Valu-Present is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that the software will be error-free, uninterrupted, or compatible with every computer, display or file.
To the fullest extent the law allows:
a. we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, lost cases, sanctions, or the cost of substitute services, even if we were told they might happen; and
b. our total liability for any claim relating to Valu-Present is limited to the amount you paid us in the 12 months before the claim arose.
Some places do not allow these limits, so they may not apply to you.
14.1 Your license ends when your subscription ends (section 6), or if you materially breach these terms and do not fix the breach within 10 days of our notice. For a serious breach, such as cracking the license or redistributing the software, it ends immediately.
14.2 When the license ends, you must stop using Valu-Present. Your content stays yours. Your files remain on your computer in standard formats (PDF, images, MP4, text, PowerPoint, Excel), so you can still open them without Valu-Present.
14.3 Sections 2.2, 3, 4, 12, 13, 15 and 16 survive the end of the license.
14.4 If a person is removed from a firm account, their own sign-in stops working, and the computers they activated stop at their next check-in (within 48 hours if offline). Their seats go back to the firm's pool.
You will follow all export control and sanctions laws that apply to your use of Valu-Present.
16.1 Governing law. These terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules. This does not take away any consumer protection that the law where you live gives you and that cannot be waived, including New York's automatic renewal law (N.Y. Gen. Bus. Law § 527-a).
16.2 Venue. Courts in Culpeper County, Virginia, have exclusive jurisdiction, except where the law where you live requires otherwise.
16.3 Entire agreement. These terms are the whole agreement about Valu-Present and replace earlier ones. If any part is unenforceable, the rest still applies. Not enforcing a right is not a waiver of it. You may not assign these terms without our consent; we may assign them to a successor of our business.
16.4 Notices. We send notices to your account email and show them in the app. You can reach us at holmstockd@danielholmstock.com or holmstockd@gmail.com.
Record of acceptance: Valu-Present records the version you agreed to, the date and time, your account and the computer, and keeps that record with your account.
